Terms of Service

1. Acceptance of Terms

By accessing or using the Nosabo application, website, AI conversational toys, merchandise, and any other services provided by us (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Services.

2. Description of Services

Nosabo provides a language learning platform that includes personalized lessons, AI-powered conversation practice, and other related features. We may also offer physical goods for sale, including merchandise and AI conversational toys.

3. User Accounts

To access most features of the Services, you must register for an account. You agree to:

  • Represent that you are at least 13 years of age. The Services are not directed to children under 13. If you are between 13 and the age of majority in your jurisdiction, you confirm that you have a parent or legal guardian's permission to use the Services.
  • Provide accurate, current, and complete information during the registration process.
  • Maintain the security of your password and accept all risks of unauthorized access to your account.
  • Promptly notify us if you discover or otherwise suspect any security breaches related to the Services.

4. Subscriptions and Payments

a. Subscriptions

Certain parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select.

b. Automatic Renewal

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or we cancel it. You may cancel your Subscription renewal through your online account management page.

c. Fee Changes

We reserve the right to change our subscription fees at any time. Any fee change will become effective at the end of the then-current Billing Cycle.

d. Refunds

Except when required by law, paid Subscription fees are non-refundable.

5. User-Generated Content

You are responsible for any content you generate while using the Services, including text and audio from your conversations with our AI ("User Content"). You retain ownership of your User Content. However, by using the Services, you grant Nosabo a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute your User Content in connection with providing and improving the Services.

6. Intellectual Property

The Services and their original content (excluding User Content), features, and functionality are and will remain the exclusive property of Nosabo and its licensors. Our brand, characters (e.g., "Frida"), and trademarks may not be used in connection with any product or service without our prior written consent.

7. Prohibited Conduct

You agree not to use the Services to:

  • Violate any applicable law or regulation.
  • Infringe the rights of any third party, including intellectual property or privacy rights.
  • Transmit any viruses, worms, or other malicious software.
  • Attempt to reverse engineer, decompile, or otherwise discover the source code of the App or its underlying components.

8. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

9. Disclaimer of Warranties & Limitation of Liability

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding the operation or availability of the Services.

In no event shall Nosabo, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, USA, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice prior to any new terms taking effect.

12. EU and UK Consumer Provisions

This Section applies to you if you are a consumer (an individual acting outside your trade, business, or profession) located in the European Union, European Economic Area, United Kingdom, or Switzerland. It supplements and, where indicated, modifies the other Sections of these Terms.

a. Statutory rights

Nothing in these Terms affects the mandatory consumer protections of the laws of your country of residence. The rights granted to you by those laws apply in addition to the rights granted by these Terms.

b. Right of withdrawal

You generally have a 14-day right of withdrawal from the purchase of digital services. By starting your subscription and using the Services immediately, you expressly request that performance begin during the withdrawal period and acknowledge that you will lose your right of withdrawal once the Services have been fully performed. Notwithstanding Section 4(d), to the extent the Services have not yet been fully performed, you may exercise your right of withdrawal by contacting us at support@nosaboworld.com.

c. Liability

Notwithstanding Section 9, nothing in these Terms excludes or limits our liability for: (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any liability that cannot be excluded or limited under applicable law.

d. Governing law and jurisdiction

The choice of California law in Section 10 does not deprive you of the protection of the mandatory consumer protection provisions of the law of the country in which you habitually reside. You may bring legal proceedings in the courts of your country of residence.

e. Online dispute resolution

EU consumers may also access the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr for help resolving disputes.
